  1. Introduction

Verdata is a data provider that enables businesses to make informed decisions about other businesses. Our website provides access to data and analytics that may be used to assess financial, reputational, and regulatory risks associated with business entities.

  1. Acceptance of Terms

By using Verdata’s website, you agree to these terms of service. If you do not agree to these terms, you may not use our website.

  1. Use of Service

As a registered user, you may use Verdata’s services solely to evaluate the financial risks of contracting with or entering into transactions with a business that is the subject of data provided by Verdata.  You may download and print information from the Services in connection with these permissible uses. You may not use Verdata’s services for any purpose that is regulated by the Fair Credit Reporting Act, 15 U.S.C. § 1681 et seq., and its implementing regulations (the “FCRA”); in a manner that violates the Equal Credit Opportunity Act, 15 U.S.C. § 1691 et seq., and its implementing regulations (“ECOA”); to examine, study, model, derive, infer, or otherwise analyze the characteristics or behavior of an individual, or to contact an individual, outside of the individual’s capacity as an owner, director, officer, employee, contractor, or agent of a business.

  1. Unauthorized Conduct

You may not use, or allow any Individual or entity, to: Use Verdata’s services other than as authorized by this Agreement; use Verdata’s services for the benefit of any third party; republish or distribute information from Verdata’s services (including by posting the same on any other website); modify information from Verdata’s services; alter, modify, disassemble, decode, decompile, reverse engineer or otherwise attempt to derive source code, or other trade secrets, from Verdata’s services, including any of Verdata’s analytical methods; take any action that would impede or interfere with the operation of Verdata’s services, alter the contents of Verdata’s services, or alter or interfere with any other content, site, or software that Verdata owns or controls; copy, license, sell, distribute, lease, rent, lend, publish, resell, make available, sublicense, otherwise transfer or assign, or otherwise exploit Verdata’s services or access thereto; bypass or breach any security used by Verdata’s services; bypass any rate limit or similar control imposed on your ability to query or download data from Verdata’s services; Input, upload, transmit, or otherwise provide to, or through Verdata’s services, any information or materials that are in violation of Law, injurious, contain, transmit or activate any viruses, malicious or harmful code, or any other similar software or programs that may access or damage the operation of Verdata’s services; as applicable, act in a manner intended to avoid incurring fees, or exceeding any restrictions or limitations set forth in these Terms of Use; remove proprietary notices; directly or indirectly, change, recompile, reframe, rent, sell, distribute, or publish any of Verdata’s services, any database thereon and/or any content thereon, or any portion thereof; use any data mining, robots, or similar data gathering and extraction methods with respect to the Services or any portion thereof; or use Verdata’s services directly or indirectly in competition with Verdata in any way whatsoever.

  1. User Accounts

Verdata may provide You with credentials to access Verdata’s services through one or more accounts. You are responsible for use of its account and for maintaining the confidentiality of its credentials. You accept responsibility for all activities that occur under your account, and such use will be deemed to be used by you. Verdata may require you periodically to register use of Verdata’s ervices including through automatic methods to verify authorized use.  You shall notify Verdata immediately of any known or suspected compromise or loss of your credentials. 

  1. Audit Rights

Verdata may, upon reasonable notice, audit your compliance with this Agreement, including review of any policies, procedures, instructions, or other documents relating to your  use of Verdata’s services. You must promptly produce any documentation in connection with an audit, and in no event more than ten (10) days from receiving Verdata’s request. Without limiting Verdata’s remedies, if an audit reveals material noncompliance with this Agreement, Verdata may terminate for material breach and you must pay, in addition to any fees due, all costs of such audit. 

  1. Fees and Payment

Verdata’s services are subject to fees, which will be disclosed to you at the time of purchase. You are responsible for paying any fees associated with your use of our services. 

  1. Intellectual Property

Verdata owns all intellectual property associated with our website and services. You may not copy, modify, distribute, or reproduce any content from our website without our express written permission.

  1. Limitation of Liability

Except in connection with a Party’s gross negligence or willful misconduct, in no event will either Party be liable under this Agreement, whether in contract or in tort, for any direct damages arising out of or based on this Agreement exceeding the total of fees paid and due to be paid by that Party to the other Party regardless of the form in which any legal or equitable action may be brought.

Except in connection with a Party’s gross negligence or willful misconduct, in no event will either Party be liable under this Agreement for exemplary, punitive, indirect, special, lost profits, consequential or similar damages under any theory of tort, contract, strict liability, or other legal or equitable theory, each of which is hereby excluded by agreement of the Parties regardless of whether or not such Party has been advised of the possibility of such damages.

  1. Indemnification

You, at your own expense, will at all times indemnify, defend, and hold harmless Verdata and its affiliates, officers, directors, agents, employees and third party service Partners (collectively “Verdata Entities”) from and against any and all claims, demands, liabilities, costs, and expenses, including reasonable expenses of investigation and legal fees and costs, in connection with any third-party claim, suit, action, allegation, or other proceeding brought against any of the Verdata Entities based on, arising out of, or relating to: (i) Your breach of any of its obligations, representations or warranties under this Agreement; (ii) Your negligence; (iii) Your breach of any applicable state, federal, or foreign law or regulation, including without limitation, the California Consumer Privacy Act, the Fair Credit Reporting Act, and the General Data Protection Regulation as adopted by the European Union; (iv) an allegation that the Data infringes any valid intellectual property right, including trademark, trade secret, or copyright.

  1. Privacy Policy

Verdata’s privacy policy explains how we collect, use, and protect your personal information. By using our website, you agree to our privacy policy.

  1. Termination

Verdata may terminate your user account at any time for any reason. You may also terminate your account at any time by contacting us. Upon termination of this Agreement, you must discontinue all use of data acquired from Verdata in your possession. Upon termination of this Agreement, Verdata shall delete or destroy all copies of your data in its possession; provided, however, that this obligation does not extend to any substantial transformation of your data into Verdata Insight Data.

  1. Governing Law

This Agreement and all controversies arising from or relating to performance hereunder will be governed by and construed in accordance with the laws of the Commonwealth of Virginia without giving effect to its conflict of laws principles. You and Verdata hereby (i) agree that any action arising out of this Agreement will be brought in the state or federal courts located in Richmond, Virginia; (ii) irrevocably submit to the exclusive jurisdiction of such courts; and (iii) waive any right to a jury trial in such courts.

  1. Amendments

Verdata may amend these terms of service at any time. We will notify you of any changes by posting the revised terms on our website.
